Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vendifys.com (the "Platform"), operated by VENDIFYS, headquartered in Dubai, United Arab Emirates. By creating an account, operating a store, or making a purchase on the Platform, you agree to be bound by these Terms.

1. Definitions

  • "Platform" means vendifys.com, including all websites, dashboards, features, and services.
  • "Merchant" means any individual or business that creates and operates a storefront on Vendifys.
  • "Customer" means any person who browses or purchases from a Merchant store on the Platform.
  • "We," "Us," "Our" refers to VENDIFYS.
  • "You" refers to you as a Merchant or Customer.

2. Platform Description

Vendifys provides a multi-merchant e-commerce infrastructure that allows Merchants to create, manage, and operate online storefronts. Vendifys is a technology provider. Unless explicitly stated as "Sold by Vendifys", Vendifys is not the seller of record for Merchant products.

3. Eligibility and Accounts

3.1 You must be at least 18 years old to create an account.

3.2 You agree to provide accurate, current, and complete information.

3.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3.4 You may not transfer your account without our prior written consent.

4. Merchant Responsibilities

4.1 Store Content: You are solely responsible for your store content, including product listings, descriptions, images, prices, inventory, shipping rates, and taxes.

4.2 Order Fulfillment: You are solely responsible for fulfilling all Customer orders, including processing, shipping, delivery, customer support, returns, and refunds.

4.3 Legal Compliance: You represent and warrant that your business and products comply with all applicable laws in the UAE and in all jurisdictions where you sell, including consumer protection, product safety, tax, and intellectual property laws.

4.4 Prohibited Products: You may not offer or sell any illegal, counterfeit, hazardous, regulated, or infringing products. Prohibited items include but are not limited to narcotics, weapons, counterfeit goods, and products that violate third-party intellectual property rights. We reserve the right to remove any product, listing, or store at our sole discretion.

4.5 Customer Data: You must handle all Customer data obtained through the Platform in compliance with applicable data protection laws and our Privacy Policy. You shall not use Customer data for spam or unauthorized marketing.

5. Subscriptions and Fees

5.1 Plans: Use of certain Platform features requires a paid subscription plan as displayed on our pricing page.

5.2 Billing via Stripe: All Vendifys Platform subscription fees are billed and processed securely by Stripe. By subscribing, you authorize Vendifys and Stripe to charge your designated payment method on a recurring basis (monthly or yearly) according to your selected plan.

5.3 Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle until cancelled. You may cancel at any time from Dashboard > Billing. Cancellation becomes effective at the end of the current billing period. No refunds or credits for partial periods.

5.4 Price Changes: We may modify subscription prices with at least 14 days prior notice. Continued use after the change constitutes acceptance.

5.5 Taxes: Fees are exclusive of VAT and other applicable taxes unless otherwise stated. You are responsible for all taxes associated with your use of the Platform.

6. Payment Processing — Merchant Connected Providers

6.1 Connection via API Keys: Merchants may connect their own third-party payment provider (such as Stripe, PayPal, Paymob, Telr, etc.) to their Vendifys store by providing API keys, secret keys, or payment link credentials in Dashboard > Payments.

6.2 Direct Processing: When a Customer makes a purchase from a Merchant's store, the payment is processed directly by the Merchant's own connected payment provider via secure, encrypted API. The transaction does not flow through Vendifys accounts.

6.3 Vendifys Does Not Hold Sales Funds: All proceeds from Merchant sales are settled and paid out directly by the Merchant's payment provider to the Merchant. Vendifys does not hold, custody, or route Customer sales funds.

6.4 Merchant of Record: For all transactions processed via a Merchant's connected provider, the Merchant is the sole merchant of record. The Merchant is solely responsible for all refunds, chargebacks, disputes, fraud monitoring, and compliance with its payment provider's terms and conditions.

6.5 No Liability for Merchant Transactions: VENDIFYS IS NOT A PARTY TO THE TRANSACTION BETWEEN MERCHANT AND CUSTOMER FOR PAYMENTS PROCESSED VIA THE MERCHANT'S CONNECTED PAYMENT PROVIDER. VENDIFYS SHALL HAVE NO LIABILITY WHATEVER FOR PAYMENT FAILURES, DECLINED TRANSACTIONS, CHARGEBACKS, FRAUD, FROZEN FUNDS, OR ANY ACTION TAKEN BY THE MERCHANT'S PAYMENT PROVIDER.

6.6 API Key Security: All API keys and secrets provided by Merchants are encrypted at rest (AES-256) and encrypted in transit via TLS. Vendifys uses such keys solely to facilitate payment routing for your store. You are responsible for maintaining the confidentiality of your keys. You must notify us immediately at info@vendifys.com if you suspect your keys have been compromised.

6.7 Disconnection: You may disconnect your payment provider and delete your API keys at any time. Upon disconnection or account deletion, keys are securely deleted.

7. Platform Commission

In addition to subscription fees, Vendifys may charge a platform commission or transaction fee as specified in your plan. Stripe fees and fees charged by your connected payment provider are separate and charged directly by those providers.

8. Customer Orders

All orders are subject to acceptance by the Merchant. Vendifys does not guarantee the quality, safety, legality, or timely delivery of Merchant products. All issues regarding orders must be resolved directly between Customer and Merchant.

9. Intellectual Property

9.1 The Platform, including its design, logo, text, code, and software, is owned by Vendifys and protected by intellectual property laws.

9.2 By uploading content to your store, you grant Vendifys a worldwide, non-exclusive, royalty-free license to use, host, display, and reproduce such content solely for the purpose of operating, improving, and promoting the Platform.

9.3 You may not copy, reproduce, reverse engineer, or scrape the Platform.

10. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property or privacy rights
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Platform or other Merchant stores
  • Attempt to extract, view, or use API keys belonging to other Merchants
  • Engage in fraudulent, deceptive, or abusive practices

11. Termination

11.1 You may delete your account at any time via your dashboard or by contacting info@vendifys.com.

11.2 We may suspend or terminate your account, store, or access immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, sell prohibited products, or create legal risk for Vendifys.

11.3 Upon termination, your right to use the Platform ceases. Subscription fees are non-refundable except as required by law.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VENDIFYS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT PAYMENT PROVIDER INTEGRATIONS WILL BE UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENDIFYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, REGREGARD OF THE FORM OF ACTION.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO VENDIFYS IN THE THREE (3) MONTHS PRECEDING THE CLAIM. FOR PAYMENTS PROCESSED VIA MERCHANT-CONNECTED PROVIDERS, VENDIFYS SHALL HAVE NO LIABILITY.

14. Indemnification

You agree to indemnify, defend, and hold harmless Vendifys, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your store, products, or services; (b) your use and connection of third-party payment providers and handling of Customer payments; (c) your breach of these Terms; (d) your violation of any law or third-party rights.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any dispute arising from these Terms shall first be attempted to be resolved amicably for 30 days. If not resolved, it shall be submitted to the competent courts of Dubai, UAE.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Platform. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
